1. Introduction: These terms and conditions apply to all users of the home health nurse registry services

(the "Services") offered “Honey’s Life Yahi Care Services Corp.” ("we" or "us"), a registered business in

accordance with the laws of the State of Florida. By using our Services, you agree to be legally bound by

these terms and conditions.

2. Description of Services: We offer a registry service for home health nurses and caregivers in Naples,

Florida, through which we provide you with access to a network of registered nurses and caregivers, who

are independent contractors and not employees or agents of “Honey’s Life Yahi Care Services Corp.” Our

Services are intended to facilitate the connection between you and registered nurses and caregivers who

may meet your needs, but we do not bear any responsibility for the quality of care they provide.

3. Eligibility: To use our Services, you must be at least eighteen (18) years old and have the legal capacity

to enter into a binding agreement with us. By using our Services, you represent and warrant that you

meet these criteria and that you have the legal authority to act on behalf of anyone for whom you are

seeking Services.

4. Registration: In order to access our Services, you are required to complete the registration form either

online or in person and provide accurate and complete information about yourself and your loved one,

as well as the care you require. You are responsible for keeping your information up to date. We reserve

the right to refuse registration to anyone in our sole discretion.

5. Fees: Our Services are subject to a fee, which is set forth in our fee schedule, available on our website

or by contacting us. We reserve the right to change our fees at any time, but we will give you reasonable

notice of any such change.

6. Payment: Payment for our Services must be made in accordance with our invoicing policies. If you fail

to pay our invoices, we may terminate your access to our Services.

7. Prohibited Uses: You may not use our Services for any purpose other than its intended purpose, which

is to connect you with registered nurses and caregivers who may meet your needs. You may not use our

Services for any fraudulent, unlawful, or abusive purpose.

8. Limitation of Liability: We shall not be liable for any damages arising from the use of our Services,

including but not limited to any direct, indirect, special, incidental, or consequential damages. By using

our Services, you agree to indemnify, defend, and hold us harmless from any liability, loss, claim, and

expense, including reasonable attorney's fees, arising out of your use of our Services.

9. Termination: We reserve the right to terminate your access to our Services for any reason, including

but not limited to breach of these terms and conditions, non-payment of fees, and misuse of our

Services.

10. Governing Law: These terms and conditions shall be governed by and construed in accordance with

the laws of the State of Florida, without regard to its conflict of law provisions.

11. Severability: If any provision of these terms and conditions is found to be invalid or unenforceable,

the remaining provisions shall remain in full force and effect.

12. Changes to Terms and Conditions: We reserve the right to modify these terms and conditions at any

time. If we make any material changes to these terms and conditions, we will post notice of the changes

on our website and update the "last updated" date at the top of this document.

13. Entire Agreement: These terms and conditions constitute the entire agreement between you and us

with respect to the use of our Services, and they supersede all prior or contemporaneous

communications and proposals, whether oral or written.
